March 10, 2020 Meeting Notice - Membership Vote On Friends Of The Border To Border Trail Dissolution
To All Friends of the Border To Border Trail Members
At its February 19th meeting, the Board of Directors of the Friends of the Border To Border Trail approved the following resolution…
“The Friends of the Border to Border Trail should move forward with the process of integration into the Huron Waterloo Pathways Initiative (as a Friends Group). It is understood that this will include legally dissolving the Friends non-profit organization. Final decision on this move will be held at a meeting of the full Friends membership that will be publicly announced.”
Keeping in mind the above resolution, and procedures required by the State of Michigan, the U.S. Internal Revenue Service, and the Friends of the Border To Border Trail bylaws to dissolve an existing non-profit organization, at the upcoming March 10, 2020 Friends of the Border To Border Trail Board/Membership meeting the following will take place…
• The Friends of the Border To Border Trail Board of Directors will put forth a resolution to dissolve (end) the Friends of the Border To Border Trail and terminate it’s 501c3 non-profit status pending a Membership vote. This dissolution resolution will include language transferring any assets to the Huron- Waterloo Pathways Initiative (also a 501c3 non-profit) for Border To Border Trail construction.
• The Membership of the Friends of the Border To Border Trail present at the March 10, 2020 Board/Membership meeting, will vote on the Board resolution to dissolve the Friends as a non-profit organization. It should be noted that the current Friends of the Border To Border Trail bylaws do not allow proxy voting or electronic voting so all votes by the membership must be in person at the meeting.
The March 10, 2020 Friends of the Border To Border Trail Board of Directors and Membership Meeting will take place at the Ann Arbor REI Community Room (in the rear of the store), 970 W Eisenhower Parkway, Ann Arbor, MI 48103 with a map at https://goo.gl/maps/ZSNPA72yXq1GiaK99. The meeting will begin at 7:00pm.
If a dissolution is approved by the membership, the Friends would no longer be an independent non-profit, but members who are interested would be integrated within HWPI’s (http://huron- waterloo-pathways.org) Friends Groups. This will allow greater funding for projects the Friends has been either active or interested in, paid staff to assist Friends activities, and a larger volunteer base.
